Terms and Conditions of Use
You have accessed the Live It Earth platform ("Platform"), which is operated by Live It Earth Productions Inc. ("Provider" and "we"), which operates Live It Earth.
Your access to this Platform creates a contractual agreement between you and Provider whereby you agree with Provider to be bound by the following terms and conditions of use (the "Terms of Use") for this Platform and to use the Platform in compliance with all applicable local laws and regulations.
The content and materials published on the Platform are protected by copyright and trademark laws. We may modify these Terms of Use or our Privacy Policy by posting a notice of such modifications on the Platform. Your continued use of the Platform following the posting of any changes to these Terms of Use or Privacy Policy constitutes your acceptance of such changes.
## 1. Permission to Use
### 1.1. Non-Commercial Use
You will use the Platform solely for personal, non-commercial educational purposes. You will not use the Platform for commercial purposes.
### 1.2 Ownership of and access to content
The Platform contains elements derived in whole or in part from elements provided and owned by the Provider as well as by third parties ("Content"). The Supplier owns or has the license to distribute all Content as provided on the Platform. Except as expressly provided in these Terms of Use, you may not use or redistribute any Content displayed on or otherwise associated with the Platform without our written permission.
Your access to such content does not transfer any right, title or interest in and to the copyrights, licenses, service marks, trade names and all other intellectual and proprietary rights throughout the world associated with the content. You acknowledge the intellectual property rights of the Provider and such third parties in the Content and that your use of the Platform is strictly limited to accessing and viewing the Content, downloading educational PDF documents and accessing, viewing and modifying google documents for personal, educational and non-commercial purposes, all solely with the permission of the Provider.
### 1.3 Mobile devices
The Platform may offer certain features and services that are available to you via your mobile device. These features and services may include the ability to access Platform features and upload content to online services, receive messages from online services and download applications to your mobile device ("Mobile Features"). Your operator may prohibit or restrict certain Mobile Features, and certain Mobile Features may be incompatible with your operator or your mobile device. In addition, your operator may charge you messaging, data and other fees to access and use the Mobile Features. We are not responsible for any charges you incur when using Mobile Features.
### 1.4 Card access and subscriptions
Purchases of events or purchases of subscriptions to virtual items made available on the Platform are non-refundable, have no monetary value (i.e., they do not constitute a cash account or equivalent) and constitute only purchases of a limited, non-exclusive, revocable, non-assignable, personal and non-transferable right of use, even if accompanied by a term clause (for example, a monthly subscription) to use such events or subscriptions solely for educational purposes. This means that you have no intellectual property or other proprietary rights, title or monetary interest in the event or subscription, which are and remain the exclusive property of the supplier and third-party licensors. We may modify events or subscriptions at our sole discretion, and such modifications may make the event or subscription more or less current, valuable, effective or functional.
### 1.5 Sharing user accounts
User accounts are for your exclusive use, either personally or on behalf of an educational organization you are authorized to represent.
### 1.6 Account security
The Live It Earth platform is a content delivery application that collects little or no personally identifiable information. We follow all best practices and keep our application code base up to date with security modules to ensure that any security issues are addressed immediately. Live It Earth also has an SSL certificate, which guarantees that communication between the customer's browser and our application is end-to-end encrypted. There is no risk of interceptor attacks or requests that are not part of the current application.
Our database is not accessible to the public and has a firewall that only allows our server to connect. The database is also encrypted in rest mode, which means that when not in use for read and write operations, the database cannot be read by external sources without a decryption key. Although we follow all best practices, we cannot 100% guarantee that there will be no security problems.
In the event of fraudulent, abusive or illegal activity on your account(s), the Provider may, at its sole discretion, terminate your account(s) and forward all relevant account information to the appropriate law enforcement agencies. You may be liable for costs and other damages resulting from such fraudulent, abusive or otherwise illegal activity.
### 1.7 Fees, Payment Processing, Taxes and Refunds
You agree to pay all subscription fees, event fees and other charges on your account(s), including applicable taxes (defined below), in accordance with the billing terms in effect at the time each fee or other charge is incurred. You must provide the Provider, and its payment processor, with valid credit card information.
You acknowledge and agree that payments for subscriptions, events and other purchases made through the Platform may be processed by third-party payment management systems, over which the Provider has no control or responsibility. You are advised to carefully review the terms of use and privacy clauses of any payment processor or other third-party service provider.
Fees and other charges payable in connection with your use of the Platform may be subject to applicable federal, provincial, state or other governmental sales, goods and services, harmonized, value-added or other taxes, duties, fees or charges (collectively, "Taxes"). All sales made through the Platform are final.
### 1.8 Disclaimer of Liability
The content and other materials on the Platform are provided "as is" and any use of the Platform is at your own risk. Provider makes no warranties, express or implied, and hereby disclaims and negates all other warranties, including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, title or non-infringement of intellectual property or other violation of rights. In addition, the Provider does not warrant or make any representations regarding the accuracy, likely results, or reliability of the use of the Content or other items on the Platform or otherwise related to such Content or items or that your use of the Platform will be free from loss, destruction, damage, corruption, attack, virus, interference, hacking or other security intrusion and the Provider disclaims all liability with respect thereto.
### 1.9 Indemnification
You agree to defend, indemnify and hold harmless the Provider, its affiliates and their respective directors, officers, employees and agents from and against any and all claims, demands, actions, suits or proceedings, and all losses, liabilities, damages, costs and expenses (including reasonable legal fees and costs) arising out of:
1. any breach of these Terms of Use;
2. your placement or transmission of any content onto Provider's or their service provider's servers;
3. use of your account(s) by you or any other person, including any use that infringes any intellectual property right of any person or entity or defames any person
or violates their rights of publicity or privacy; or
any misrepresentation made by you or wilful misconduct in connection with establishing, maintaining or using your account(s) or your use of the
1. any violation of these terms of use;
2. your placement or transmission of any content on the Provider's or its service provider's servers;
3. the use of your account(s) by you or any other person, including any use that infringes any intellectual property right of any person or entity, or defames any person
infringes any person's rights of publicity or privacy; or
any forgery or intentional misconduct on your part in connection with the establishment, maintenance or use of your account(s) or use of the Platform.
### 1.10 Revisions and errors
The content and other materials on the Platform could include technical, typographical or photographic errors. The Provider does not warrant that any of the materials on the Platform are accurate, complete or current. The Provider may make changes to the content and other elements of the Platform at any time without notice. The Provider makes no commitment to update any content.
### 1.11 Applicable law and disputes
These Terms of Use and all matters relating to the Platform and your Account(s) shall be governed by the laws of the Province of British Columbia, Canada, without regard to its conflict of laws provisions and to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods.
